1. Risk Disclosure Statement

1. General Risk Warning: This document complies with NGX rules governing dealing members. The statement is not an exhaustive list of all risks of trading in the Nigerian Capital Market.

2. Nature of Risk: There are varying degrees of risk for different instruments. Do not invest unless you fully understand the risks involved and whether an investment is appropriate given your experience, objectives, financial resources, and all other conditions.

3. Capital Risk: An investor is at risk of losing 100% of their investment. Prices fluctuate, sometimes drastically. The value of a security may become insignificant and losses may be incurred rather than profits.

4. Currency Risk: Fluctuations in exchange rates may affect profit or loss in foreign currency denominated transactions.

5. Market Risk: Transactions in markets within and outside Nigeria may expose you to additional risks. Such markets may offer different or diminished investor protection.

6. Fee Awareness: Seek proper clarification of all fees commissions and charges before issuing a trading instruction. These will affect your net profit or increase your loss.

7. Execution Only: Network Capital Limited acts as an execution-only stockbroker and not a financial adviser. We only execute BUY and SELL mandates on the floor of the NGX.

2. Electronic Instruction and Email Indemnity*

I/We request that Network Capital Limited may receive and act on properly authenticated instructions sent through the communication channels registered for this account. I/We acknowledge the operational risks of delay, interception, corruption, impersonation and unauthorised access, and undertake to notify Network Capital Limited immediately when a registered channel or device is compromised.

This indemnity applies only to electronic-instruction risk. It is not consent for marketing and does not waive rights that cannot lawfully be waived.

3. Terms and Conditions

Office Hours: 8:00 AM to 5:00 PM on each Business Day in Nigeria.

Market Hours: The market is open from 9:00 AM to 4:00 PM Nigeria time.

Mandate Deadline: Mandates received after the close of the market will be treated on the following market day.

Execution Only: Network Capital Limited executes mandates on a best-efforts basis. Network Capital Limited cannot guarantee execution on a particular day, even at the market price.

Settlement: The Nigerian market operates on T+1 settlement. Proceeds are credited to your registered bank account within one business day via CSCS Direct Settlement.

Fees: Brokerage is charged up to a maximum of 1.35%. SEC fee applies on purchases. NGX fee and CSCS fee apply on sales. Stamp Duty is 0.08%. CSCS Trade Alert is ₦6 per SMS alert. VAT applies only to applicable charge components as shown on the contract note.

AML Compliance: All transactions are subject to the Money Laundering (Prevention and Prohibition) Act 2022. Network Capital Limited is required to report suspicious transactions to the Nigerian Financial Intelligence Unit (NFIU).

Payments: All deposits must come directly from the clients own bank account. Proceeds are paid only to the registered bank account on file. No third-party payments.

Confidentiality: The Client agrees to keep confidential any information about Network Capital Limited. Network Capital Limited will not divulge client information to any third party except as required by law.

Termination: Either party may terminate with 3 days written notice provided no outstanding transactions remain to be settled.

Governing Law: This agreement is governed by the Laws of the Federal Republic of Nigeria.

Amendment: The client agrees to be bound by any review changes or amendments to these terms from time to time.

I/We have read understood and agree to be bound by the Terms and Conditions of Network Capital Limited as stated above and as may be amended from time to time.

4. Privacy Notice Acknowledgement — Nigeria Data Protection Act 2023*

Network Capital Limited processes information required to assess and administer this account, comply with securities, anti-money-laundering and other legal obligations, execute transactions, manage risk, prevent fraud and provide requested services. The applicable lawful bases include contract, legal obligation and legitimate interests as described in the NETCAP Privacy Notice (version 2026-07).

The notice explains the information collected, purposes, recipients, cross-border safeguards where applicable, retention criteria and data-subject rights. Privacy enquiries, access, correction, restriction, objection, withdrawal or erasure requests may be sent to the Data Protection Officer at dpo@networkcapitalltd.com. A complaint may also be submitted through the Nigeria Data Protection Commission.

Required KYC and account-administration processing is not based on marketing consent. Regulatory retention or another lawful basis may limit immediate deletion.
